Agreement
These Terms govern access to and use of MARVIN. By using MARVIN, creating an account, connecting an integration, using an MCP token, or authorizing another user or agent to use MARVIN, you agree to these Terms on behalf of yourself and the organization you represent.
Authority
You represent that you have authority to bind the agency, company, or other organization using MARVIN and to connect any ad accounts, GHL locations, calendars, pipelines, MCP clients, and third-party systems you add to MARVIN.
Service
MARVIN provides reporting, analytics, attribution, chat, MCP tools, and automation support for agencies. MARVIN is not a system of record for medical records, legal records, financial records, payroll, tax, emergency services, or other regulated primary records. MARVIN does not provide legal, medical, financial, tax, advertising, or compliance advice.
Account access
Users must protect login credentials, API keys, MCP tokens, and connected service accounts. Activity through authorized credentials may be treated as authorized account activity. MARVIN may suspend or restrict access when needed to protect the service, other customers, connected platforms, or legal compliance.
Customer data
Customers retain ownership of their data. Customers grant MARVIN a limited right to process customer data as needed to provide, secure, troubleshoot, support, and improve the services; comply with law; and enforce these Terms. Customers are responsible for the accuracy, legality, permissions, pipeline mappings, connected accounts, and exports they provide or authorize.
Data processing
Where privacy law treats MARVIN as a service provider, processor, or similar role for customer data, MARVIN will process that customer data only for the services and other permitted business purposes. Customers remain responsible for their own privacy notices, lawful basis, consents, data subject requests, and instructions to MARVIN.
Integrations
MARVIN depends on user-connected third-party platforms. Platform outages, revoked scopes, changed APIs, or incorrect permissions can affect reporting. Customers are responsible for complying with the terms and policies of GHL, ad platforms, communication tools, AI providers, MCP clients, and any other connected services they use with MARVIN. MARVIN is not responsible for third-party platform acts, omissions, storage, security, retention, API changes, suspensions, or data processing after data is sent to those platforms at the customer's direction.
AI, chat, and MCP
MARVIN may provide AI-assisted outputs, summaries, classifications, recommendations, and tool results. These outputs can be incomplete, inaccurate, delayed, or based on incomplete source data. Users are responsible for reviewing outputs before relying on them and for supervising any external agent, model, workflow, or MCP client that uses MARVIN data. Users may not use AI, chat, MCP, or automation features to make decisions that require human review by law or contract without that review.
Regulated data
Do not submit protected health information, payment card data, government identifiers, children's data, or other regulated data unless your plan, configuration, and written agreement with MARVIN expressly allow it. If you are a covered entity or business associate under HIPAA, you must not use MARVIN with protected health information unless MARVIN has signed a Business Associate Agreement with you. A privacy policy, order form, invoice, support message, or dashboard setting is not a Business Associate Agreement.
Compliance duties
Customers are responsible for client contracts, consents, notices, call recording permissions, lead communications, TCPA and telemarketing compliance, healthcare privacy compliance, advertising platform rules, data export handling, employee access, data subject requests, downstream sharing, and use of analytics in their business decisions.
Custom builds
Custom infrastructure work is scoped separately. Pricing, access, ownership, support, and delivery terms should be documented before work begins.
Billing
Subscription fees, custom build fees, taxes, renewal terms, cancellations, and refunds are governed by the applicable checkout flow, invoice, order form, or written agreement. Unless that document says otherwise, fees are non-refundable once paid.
Acceptable use
Users may not use MARVIN to break the law, infringe rights, bypass security, scrape or overload the service, reverse engineer non-public code, transmit malware, access data without authorization, or use connected agents to do anything the user could not lawfully do directly.
Confidentiality
Non-public business, product, technical, pricing, customer, and integration information disclosed through MARVIN should be treated as confidential and used only for authorized purposes.
Intellectual property
MARVIN and its software, designs, workflows, documentation, trademarks, and service components are owned by MARVIN or its licensors. No rights are granted except the limited right to use MARVIN under these Terms. Feedback may be used by MARVIN without restriction or obligation.
Disclaimers
MARVIN is provided as available and as is to the fullest extent permitted by law. MARVIN does not guarantee uninterrupted service, perfect data accuracy, specific business outcomes, client retention, revenue, ad performance, sales performance, caller performance, compliance outcomes, or that outputs will identify every error, risk, opportunity, or legal obligation.
Liability limits
To the fullest extent permitted by law, MARVIN will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages; loss of data; business interruption; third-party platform failures; external agent actions; or customer decisions based on MARVIN outputs. To the fullest extent permitted by law, MARVIN's total liability is limited to amounts paid to MARVIN for the service giving rise to the claim during the three months before the event giving rise to liability.
Indemnity
Customers will defend, indemnify, and hold MARVIN harmless from claims, losses, liabilities, damages, costs, and expenses arising from customer data, connected accounts, customer-configured workflows, MCP clients, external agents, call recordings, regulated data, breach of these Terms, or violation of law or third-party rights.
Termination
MARVIN may suspend or terminate access for non-payment, security risk, misuse, legal risk, platform abuse, or breach of these Terms. Customers remain responsible for fees incurred before termination and for exporting data they need before access ends.
Governing law
The governing law and venue in an applicable order form or written agreement control. If none is specified, disputes will be handled under the laws and courts of the jurisdiction where MARVIN's legal entity is organized or principally located, without regard to conflict-of-law rules.
Changes
MARVIN may update these Terms as the services, law, or operations change. Continued use after an update means acceptance of the updated Terms.
